By engaging our services, you represent that you have the authority to enter into binding agreements on behalf of your organisation and that your use of our services complies with all applicable laws and regulations.
4. Intellectual Property
All content, materials, methodologies, and proprietary information provided through our services remain the exclusive property of PiperKoi. You may not reproduce, distribute, or create derivative works from our materials without prior written consent.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of engagement. This obligation survives the termination of any agreement between the parties.
6. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. PiperKoi makes no warranties, express or implied, regarding the results or outcomes of our services. Past performance is not indicative of future results. We do not guarantee any specific increase in trading volume or market activity.
7. Limitation of Liability
To the maximum extent permitted by law, PiperKoi shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to the use of our services. Our total liability shall not exceed the fees paid by you for the specific services giving rise to the claim.
8. Regulatory Compliance
PiperKoi operates in compliance with applicable financial regulations in the jurisdictions where we provide services. Clients are responsible for ensuring their own compliance with local securities laws, exchange regulations, and any other applicable regulatory requirements.
9. Termination
Either party may terminate the engagement in accordance with the terms set out in the applicable client agreement. PiperKoi reserves the right to suspend or discontinue services if these terms are breached or if continued service would conflict with regulatory obligations.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PiperKoi is incorporated. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
11. Changes to Terms
PiperKoi reserves the right to modify these terms at any time. Material changes will be communicated to active clients. Continued use of our services following any changes constitutes acceptance of the revised terms.
